Noisebridge Decision-Making Process by Membership

This document modifies the decision making process of Noisebridge by the membership. All current policies concerning decision-making (included but not limited to venue, meetings, proposing, discussion periods, participation eligibility, github procedures) not covered by this document remain unmodified.

Procedure

Quorum at a membership meeting is three members.

Decisions are made by consensus of at least two thirds of participating members. A member is participating in a decision only if they support it or object to it (but not both support and object). Members who stand aside from a decision are not counted. There is no quorum requirement for each decision: as long as a quorum is present, a decision may be made no matter how many members stand aside.

If at least two thirds of participating members support a proposal, the proposal is agreed. If no more than one third of participating members object to a proposal, it is rejected.

When the required discussion period has passed for a proposal, members may call for a vote to take place. A vote must take place during the meeting that the call for vote was made.

The secretary shall record the number of supporting votes, objecting votes, and stand asides for each decision-making vote. Votes are cast in public. Voting is closed when that meeting adjourns.

Members not present may email their support, object, or stand aside vote with the link to the github pull request of the proposal to the secretary if they are unable to be present at the meeting. If the voting member fails to include a link to the specific proposal, the secretary may make a reasonable attempt to interpret which proposal the vote is for. The secretary's email account's timestamps for the absentee vote emails will be used to determine the time it took place. The secretary has the responsibility to make sure that the timestamps are as reasonably accurate as possible.

Conflict of Member and Board Decisions

Starting from the passage of this document, membership decisions may override the decisions agreed by the board. Starting from the passage of this document, the board may not agree on decisions that would override decisions agreed by the membership.
